Terms of Service

By accessing codeveer.com or engaging our services you agree to be bound by these Terms of Service ("Terms"). If you do not agree, please do not use our website or services. These Terms apply to all visitors, clients, and anyone who accesses or uses our services.

Codeveer Digital Solutions provides digital services including, but not limited to: website design and development, search engine optimisation (SEO), social media management, content marketing, and the Free 24-Hour Preview programme. Service scope, deliverables, timelines, and fees are agreed in a project proposal or service agreement signed by both parties.

The Free 24-Hour Preview is a complimentary, no-obligation preview of a proposed website design. The preview is for demonstration purposes only; it does not constitute a live website or a final deliverable. Codeveer retains ownership of all preview assets unless a paid engagement is subsequently agreed.

We reserve the right to decline prototype requests at our discretion and to limit the number of free previews per business.

Payment Schedule

Fees and payment schedules are detailed in the individual service agreement. Unless otherwise stated, a 50% deposit is required before project commencement, with the remaining balance due on delivery.

Refunds

Deposits are generally non-refundable once work has commenced, except where Codeveer fails to deliver the agreed scope. Refund eligibility is determined on a case-by-case basis and is subject to the terms of the individual service agreement.

Late Payments

Invoices not paid within 14 days of the due date may attract a late-payment fee of 2% per month on the outstanding balance.

You agree to: (a) provide accurate, complete, and timely information required for us to deliver the services; (b) ensure all materials you supply (copy, images, logos, data) do not infringe third-party intellectual property rights; (c) respond to communications within agreed timelines to avoid project delays; and (d) pay all agreed fees on time.

Client-Owned Content

All text, images, logos, and other materials you supply remain your property. You grant us a non-exclusive licence to use them solely to deliver the services.

Delivered Work

Upon receipt of full payment, intellectual property rights in the custom deliverables (e.g. bespoke website code, graphics) transfer to you, unless otherwise stated in the service agreement.

Codeveer Tools & Frameworks

We retain all rights to our proprietary tools, frameworks, templates, and methodologies used to build your project. A non-exclusive licence to use these within the delivered product is granted upon full payment.

You agree not to: (a) use our website for any unlawful purpose; (b) attempt to gain unauthorised access to any part of our systems; (c) transmit any malicious code, spam, or harmful content; or (d) reproduce, duplicate, or resell any part of our website without express written permission.

Our website and services are provided "as is" without warranties of any kind, express or implied. We do not guarantee specific business outcomes (such as SEO rankings or conversion rates) as these depend on factors outside our control.

To the maximum extent permitted by law, Codeveer's total liability arising out of or in connection with any service shall not exceed the total fees paid by you for that service in the 12 months preceding the claim. We are not liable for indirect, consequential, or punitive damages.

Both parties agree to keep confidential any non-public business information shared during the engagement. This obligation survives termination of the service agreement for a period of two years.

Either party may terminate a service agreement with 30 days' written notice. Upon termination, you are liable for fees for work completed up to the termination date. We may terminate immediately if you breach these Terms or the service agreement.

These Terms are governed by the laws of India. Any disputes arising shall be subject to the exclusive jurisdiction of the courts in India. We encourage amicable resolution before pursuing formal proceedings.

We may update these Terms from time to time. Material changes will be indicated by updating the "Last Updated" date. Continued use of our website or services after changes constitutes your acceptance of the revised Terms.
